+++ Transfer of Shares +++
In compliance with article 4 of the Capital Market
Commission's Board of Directors Regulation 5/204/14.11.2000 on the disclosure
reguirements for Companies listed on the Athens Stock Exchange and following
the announcement of 23/12/2003 regarding the constitution on behalf of
INTRACOM, by 100%, of the subsidiary Company "INTRACOM HOLDINGS INTERNATIONAL
LÉÌITED", it is reported that INTRACOM, in the context of covering
its participation in the initial Share Capital of "INTRACOM HOLDINGS
INTERNATIONAL LÉÌITED" ( € 852.300) and in the, by the amount
of € 79.843.429, increase of its Share Capital, transferred to 'INTRACOM
HOLDINGS INTERNATIONAL LÉÌITED', as an issue for non-cash consideration,
the total of its own shares to the Companies CONKLIN CORPORATION, INTRACOM
GROUP USA INC, PC CONSULTING INC., INTRACOM (CYPRUS) LIMITED, FORNAX RT,
INTRACOM MIDDLE EAST FZE, INTRACOM D.O.O.
Following the above, the share capital of INTRACOM HOLDINGS
INTERNATIONAL LÉÌITED amounts to € 80.695.729.
